NOTICE. This Agreement contains important information about your rights, including a binding arbitration clause and a class action waiver (Section 15). Please read them carefully — they affect how disputes between you and Signo are resolved.
1. Agreement to Terms
By accessing or using any product or service operated by Flip AI, Inc. ("Signo," "we," "our," or "us") — including the Signo web application at signo.fi, the Signo API, the Signo SDK, the Signo Telegram bot, and any other product that links to this Agreement (collectively, the "Services") — you ("you" or "User") agree to be bound by these Terms of Service ("Terms"). If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
If you do not agree to these Terms, do not use the Services.
2. Description of Services
Signo provides an AI-assisted interface for composing, simulating, and routing digital-asset transactions across public blockchains. The Services allow Users to:
- Connect a self-custodial wallet (and, if offered in the future, optional read-only data sources like custodians or exchanges);
- See a unified view of positions and transaction history across connected sources;
- Receive AI-generated workflow plans, routes, and unsigned transaction data;
- Route unsigned transaction data to a User-controlled signing surface (a wallet or signer) for the User's signature; and
- Interact with the Services conversationally through the Signo Telegram bot, including receiving notifications from standing monitoring rules you configure ("Agents") and links to prepared, unsigned transactions; and
- Optionally grant a Permission (Section 2A): a bounded, revocable, on-chain authorization that lets a Signo signing service submit one specific kind of transaction for you, within limits you set, when a condition you set is met.
Signo is non-custodial. Signo never holds, controls, transmits, or takes custody of private keys, seed phrases, or digital assets. All transaction execution requires a User signature on a User-controlled signing surface, except under a Permission, which you sign once and under which Signo's signing service submits each execution as Section 2A describes. Signo prepares unsigned transaction data; it does not execute transactions, except under a Permission you have expressly granted, and then only as Section 2A describes. Even under a Permission, Signo never holds your keys or your assets: the limits live in a smart contract you authorized from your own wallet, and you can revoke them on chain at any time. This framing is fundamental to the Services and is not modified by any other provision.
No discretionary authority; you sign everything. Signo never exercises investment discretion and never trades, transfers, allocates, rebalances, or otherwise manages digital assets on your behalf. Every transaction — including any prepared by automated or AI features such as Agents, alerts, schedules, or agent workflows — is delivered to you as unsigned transaction data that you must review and sign yourself, using your own wallet on your own device. You do not grant, and these Terms do not create, any power of attorney, trading authorization, or authority for Signo to initiate transfers of, or transact in, your assets. Automated features do not execute; they only prepare transactions and notify you. Nothing executes unless and until you personally sign it, and you may decline, modify, or ignore any prepared transaction. The one exception is a Permission under Section 2A, which is not discretionary authority: it authorizes only the action, asset, limits, condition and duration you set, carried out as your instruction for the Permission directs; the Shield contract enforces those limits, and Signo cannot widen them.
No fiduciary duty. Signo is not an intermediary, agent, broker, advisor, or custodian. Signo does not have, and these Terms do not create, any fiduciary relationship or fiduciary obligation between Signo and you. To the fullest extent permitted by law, any such duties that might otherwise exist at law or in equity are irrevocably disclaimed, waived, and eliminated. The only duties Signo owes you are those expressly set out in these Terms.
Unsolicited transactions. Every transaction you submit through the Services is unsolicited — initiated solely by you. Signo does not solicit, recommend, or induce any transaction. The information Signo surfaces (yields, routes, prices, simulated outcomes) is for your reference; the decision to sign and broadcast a transaction is yours alone. Signo does not conduct a suitability review of any transaction you submit.
Beta Services. The Services are offered as a beta. Features may be added, changed, suspended, or withdrawn at any time; may contain errors or produce incorrect output; and are provided with no commitment to continued availability. Features labeled "beta" or "coming soon" may change materially or never become available. During the beta, Signo may adjust or reset promotional credit grants, derived data (such as wallet analysis results), and saved configurations where reasonably necessary, with notice where practicable. All credits expire as described in Section 5 (Credit expiry); the effect of termination on credits is governed by Section 11.
Not registered. Signo is not registered with the U.S. Securities and Exchange Commission, the Commodity Futures Trading Commission, or any other regulator as a securities exchange, broker-dealer, futures commission merchant, money transmitter, or in any other capacity. Signo does not broker trades on your behalf. Transactions you submit settle on public blockchains and are not facilitated, executed, or guaranteed by Signo.
2A. Delegated execution under a Permission (Signo Shield)
What a Permission is. A Permission is a record you register on a public blockchain, from your own wallet, in a set of smart contracts called Signo Shield (together, the "Shield"). It names one action (for example, a swap, a transfer, or repaying a loan on a named lending protocol) and the specific contracts that action may call; the token the Shield may take from your wallet and, for a swap, the tokens it may buy; a maximum amount per execution and a maximum total amount over the Permission's life, including fees (you may choose to leave either without a practical limit); an expiry; and a condition for the action to run. Where the blockchain can read the condition (for example, a loan health factor, a token balance or an asset price), the Permission records it and the Shield checks it at every execution. Any other part of the condition is checked only by Signo's signing service, on its schedule; the Shield does not check it.
Your token approval. Before you register a Permission, you approve the Shield to spend the Permission's token, in a separate transaction from your wallet. The approval is for the token, not for one Permission: all your Permissions on that token share it. The Shield can spend it only through a Permission you registered. Revoking a Permission does not remove the approval; you can remove it at any time from your wallet.
Who can change a Permission. Signo cannot change the terms of a Permission. Only you can register, change or revoke a Permission, from your wallet. Signo may stop or suspend execution under any or all Permissions at any time (for example, if it detects a fault, a changed protocol or a security risk), but it cannot widen or change a Permission.
What Signo does under a Permission. Signo operates a signing service that checks the condition you set on a schedule (currently hourly) and, when it is met, submits a transaction to the Shield that performs the permitted action for you. Within the limits of the Permission, the service determines the amount of each execution, the route through the contracts the Permission allows, and, where the Permission allows several, which token to buy. It does so by following the instruction you gave when you set up the Permission, which it may interpret using automated and AI systems; if you gave no instruction, it uses the full amount available within your limits. If the service cannot determine an execution from your instruction, it does not execute and tells you. The Shield checks every limit before it acts, checks the outcome after it acts (for example, that your debt actually fell), returns any unspent amount to you in the same transaction, and rejects anything else. For a swap of a token that has no on-chain price feed, the Shield cannot check the price you received unless you set a minimum amount to receive: without one, it checks only that a token you allowed arrived. The route then carries only the swap venue's own minimum-received check from its quote, which is not an on-chain price check, and your limits bound a poor price. Signo's signing service uses a key held in a managed key service that only Signo's production deployment can ask to sign, with kill switches. The key service does not check what it signs; the key cannot move your assets outside the Permission because the Shield will not let it.
Fees under a Permission. Each execution under a Permission carries a fee of a fixed percentage of the amount it spends (currently 0.1%). The rate is fixed in the Permission when you register it and counts toward its total limit. A later fee change applies only to Permissions registered after it. An execution that reverts pays no fee.
What Signo does not do. Signo does not take custody of your assets or keys. Signo does not choose whether to grant a Permission, what its limits are, or when to revoke it; you do. Signo may suggest or pre-fill terms, and an AI assistant or partner you use may draft a Permission for you through Signo's interfaces. A draft has no effect: a Permission takes effect only when you review it and register it from your wallet, and its terms are then yours. Signo does not guarantee that a permitted transaction will be submitted or succeed: network conditions, gas, the schedule on which Signo checks conditions, a suspension by Signo, a change in a protocol the Permission uses, unavailable data, or a failed check can prevent execution or cause the transaction to revert, in which case nothing executes. A Permission is not a promise of protection.
Your controls and responsibilities. You can revoke a Permission on chain at any time. A revocation takes effect when your revocation transaction is included in a block; a permitted transaction included before it may still execute. You can also pause a Permission in the Services, which stops Signo's signing service from submitting transactions under it; a paused Permission remains active on chain until you revoke it. You are responsible for the limits you set, for the approval you grant, for the instruction you give, for keeping enough of the asset available for the action, and for reviewing each Permission before you register it. Section 7 (Risk Disclosures) applies fully to permitted transactions, which are irreversible once confirmed on chain.
Scope of this Section. This Section governs only transactions executed under a Permission. For everything else, Section 2 applies unchanged: you sign every transaction yourself, and Signo has no authority to act on your behalf.
3. Eligibility
You may use the Services only if:
- You are at least 18 years of age;
- You are not located in, incorporated under the laws of, or a national or resident of any jurisdiction subject to comprehensive U.S. economic sanctions administered by OFAC, including Cuba, Iran, North Korea, Syria, Russia (to the extent of applicable sanctions), or the Crimea, Donetsk, or Luhansk regions;
- You are not located in, incorporated in, or a resident of the State of New York;
- You are not listed on any U.S. government denied-party list, including the OFAC SDN list or the BIS Entity List; and
- Your use of the Services is lawful in your jurisdiction.
By accessing the Services you represent and warrant that all of the above are true.
4. Accounts and Wallet Connections
Account creation. Some Services require an account. You are responsible for maintaining the security of your account credentials. Notify us immediately at security@signo.fi if you suspect unauthorized access.
Wallet connections. The Services allow you to connect self-custodial wallets. These connections are read-only by default; write paths are added explicitly per workflow and governed by your configuration. Signo does not store or transmit private keys. You are solely responsible for the security of your signing devices, the accuracy of your configuration, and any transaction you sign.
MPC and multisig. If your signing surface uses multi-party computation or multisig, the co-signers are your counterparties, not Signo. Signo has no visibility into co-signer approvals and is not a party to your multisig arrangement.
5. Fees
Signo may charge a service fee on transactions routed through the Services. Fee structure and amount are disclosed in-product before transaction signing and may include:
- A percentage fee on each execution under a Permission (currently 0.1% of the amount spent, as described in Section 2A). Ordinary wallet-signed swaps and bridges currently carry no Signo fee; third-party router, pool and bridge costs are included in the quoted output;
- Subscription plans (see Plans below), and custom pricing for teams and enterprises;
- Pass-through blockchain network fees ("gas") payable by the User to the relevant network.
Plans. Signo offers a Free plan and paid plans (currently Plus and Pro), billed monthly or annually in US dollars, with the prices and limits shown at signo.fi/pricing. A paid plan renews automatically at the start of each billing period and is charged to the card on file until you cancel. You can cancel at any time from Settings; cancellation takes effect at the end of the paid period, and you keep the plan until then. Signo does not refund partial periods. Prices and plan limits may change on the notice described under Fee changes; a change applies from your next renewal.
Free trial. A paid plan may start with a free trial (currently 14 days). A trial requires a card, is limited to one per account, and becomes a paid plan charged at the end of the trial unless you cancel before then.
Plan changes. An upgrade takes effect at once, with the price prorated for the rest of the period. A downgrade, or a switch from annual to monthly billing, takes effect at the end of the current period.
Failed payments. If a renewal payment fails, Stripe retries it over a period of about seven (7) days and may email you to update your card; your plan stays on during that period. If every retry fails, the plan ends and the account returns to the Free plan.
Free plan. The Free plan is limited to a number of requests per day and a number of wallets and active Agents (currently 15 requests a day, 1 wallet and 3 active Agents, as shown on the pricing page). Requests beyond the daily limit are refused until the next day. The Free plan is not metered in credits.
Credits. Paid plans are metered in credits, a prepaid usage unit (US $1.00 = 100 credits). Per-action pricing is disclosed in-product; as of the Last-updated date above, informational AI responses cost 1 credit per message and execution work (drafting a ready-to-sign transaction plan) costs 5 credits, with certain analyses priced separately in-product. Setting up or arming an Agent carries no charge beyond the chat message that requests it, if any. An Agent you arm consumes credits each time it fires and drafts a plan; pausing or deleting the Agent stops further consumption. Credits: (a) belong to the account they were granted to or purchased for, except on-chain top-ups, which attach to the sending wallet address (see Purchasing credits on-chain); (b) are a prepaid service fee only — not money, e-money, a deposit, a security, or an investment — confer no monetary value outside the Services, and are non-transferable and not redeemable for cash; (c) are non-refundable except where required by applicable law; and (d) may from time to time be granted promotionally or earned as rebates of service fees, which Signo may modify prospectively at any time and, during the beta, adjust or reset as described in Section 2.
Monthly allowance. Each paid plan includes a monthly credit allowance (currently 1,000 credits for Plus and 10,000 for Pro), on monthly and annual plans alike. Each month's allowance is granted at the start of that month of the subscription, once the payment that covers it has succeeded. Unused allowance expires at the end of that month and does not roll over. If a renewal payment fails, the remaining allowance stays usable during the retry period described under Failed payments.
Purchasing credits. Holders of a paid plan may buy additional credits. Purchased credits are added to the account and are spent after the monthly allowance.
Credit expiry. Purchased credits expire twelve (12) months from the date of purchase; plan allowances expire as described under Monthly allowance. Promotional credits and credits earned as rebates expire on the date stated when they are granted or earned, or twelve (12) months from that date if no shorter period is stated. Expired credits are forfeited without refund or compensation.
Purchasing credits by card. Card purchases are processed by Stripe; Signo does not receive your card details (see the Privacy Policy).
Purchasing credits on-chain. You may buy credits by transferring supported digital assets directly to Signo's published treasury address. On-chain purchases: (a) are credited to the sending wallet address — do not send from an exchange or custodial account, because the on-chain sender will be that platform's address, not yours, and the credits will not reach your wallet; (b) must be direct transfers of supported assets on supported networks at or above the disclosed minimum — unsupported assets or networks may not be detected or credited, and transfers routed through intermediary contracts will not be credited; (c) are irreversible once broadcast — Signo cannot reverse or return on-chain transfers sent in error; and (d) convert to credits at the disclosed rate at the time of crediting.
Promotions and complimentary plans. Signo may grant promotional credits or complimentary plans at its discretion. They carry no cash value and may be changed or withdrawn at any time.
Fee changes. Signo may change fees upon 30 days' notice via the email address on your account or via in-product notice. Continued use of the Services after the notice period constitutes acceptance of the new fees.
6. AI Output and No Financial Advice
The Services use large language models and other AI systems to interpret intent, surface routes, and generate workflow plans. AI output is:
- Not financial, investment, tax, or legal advice. No output of the Services should be construed as a recommendation to buy, sell, hold, or otherwise transact in any asset.
- Not guaranteed to be accurate. AI systems can produce erroneous output. You are responsible for reviewing every transaction before signing.
- Not a substitute for professional advice. Consult qualified advisers for financial, tax, and legal questions.
Signo disclaims all liability for decisions made in reliance on AI-generated output without independent verification.
7. Risk Disclosures
ASSUMPTION OF RISK. BY USING THE SERVICES YOU REPRESENT THAT YOU ARE FINANCIALLY AND TECHNICALLY SOPHISTICATED ENOUGH TO UNDERSTAND THE INHERENT RISKS OF CRYPTOGRAPHIC AND BLOCKCHAIN-BASED SYSTEMS, INCLUDING STABLECOINS AND LIQUIDITY POSITIONS, AND THAT YOU HAVE A WORKING KNOWLEDGE OF DIGITAL ASSETS AND THE PROTOCOLS YOU INTERACT WITH. YOU UNDERSTAND THAT SMART CONTRACT TRANSACTIONS SETTLE AUTOMATICALLY AND ARE IRREVERSIBLE ONCE CONFIRMED. YOU ACKNOWLEDGE AND ACCEPT THE RISKS BELOW IN FULL.
Digital asset operations involve significant risks. By using the Services you acknowledge:
- Smart contract risk. Protocols integrated with the Services may contain vulnerabilities. Signo does not audit third-party smart contracts.
- Shield risk. The Signo Shield contracts are Signo's own. They went through 15 review passes, but they have not been formally audited and may contain vulnerabilities. Under a Permission, automated and AI systems decide when and how much to execute within your limits, and may do so in a way you did not expect. Parts of a condition that the blockchain cannot read are checked only by Signo's systems.
- Bridge risk. Cross-chain bridges carry additional counterparty and smart-contract risk. Bridge failures can result in total loss of bridged assets.
- Slippage and MEV. On-chain execution is subject to price impact, slippage, and miner/validator extractable value. Actual executed prices may differ from quoted prices.
- Oracle failure. Price feeds and oracle data may be stale, manipulated, or unavailable. Signo uses oracle data to surface information; it does not guarantee oracle accuracy.
- Stablecoin depeg. Stablecoins may lose their peg, may not be adequately collateralized, and may be subject to panics and runs. Signo does not guarantee the value of any asset.
- Token authenticity. Anyone can create a token, including fake versions of existing tokens. You acknowledge the risk of mistakenly transacting in a counterfeit or impersonating token.
- Validator and network failure. Blockchain networks may experience downtime, congestion, forks, or other failures outside Signo's control.
- Per-protocol risk. Each protocol integrated with the Services carries its own risk profile. Signo surfaces per-protocol risk information in-product where available but disclaims responsibility for protocol-level failures.
- Gas fees are non-refundable. Blockchain transaction fees you pay are non-refundable in all circumstances, including when a transaction reverts, fails to execute, or is otherwise unsuccessful.
NO INVESTMENT ADVICE. ANY INFORMATION FLIP SURFACES — YIELDS, ROUTES, RISK SCORES, COMPARISONS, AI-GENERATED PLANS — IS FOR INFORMATIONAL PURPOSES ONLY AND IS NOT INVESTMENT, FINANCIAL, TAX, OR LEGAL ADVICE. FLIP MAY SHOW AGENTS AND OPTIONS DRAWN FROM YOUR OWN POSITIONS AND THE SETTINGS YOU CHOOSE, SORTED BY CRITERIA YOU CAN SEE. THEY ARE OPTIONS FOR YOU TO CONSIDER, NOT RECOMMENDATIONS TO BUY, SELL OR HOLD ANYTHING, AND FLIP DOES NOT OPINE ON THE MERITS OF ANY TRANSACTION OR OPPORTUNITY; THE CHOICE IS YOURS. YOU ALONE ARE RESPONSIBLE FOR DETERMINING WHETHER ANY TRANSACTION IS APPROPRIATE FOR YOU BASED ON YOUR PERSONAL OBJECTIVES, FINANCIAL CIRCUMSTANCES, AND RISK TOLERANCE.
NO GUARANTEE OF YIELD, RETURNS, OR PERFORMANCE. ANY YIELDS, APYS, APRS, RISK SCORES, PROJECTIONS, OR COMPARISONS THE SERVICES DISPLAY ARE SOURCED FROM THIRD PARTIES OR GENERATED BY AI, ARE PROVIDED FOR INFORMATION ONLY, MAY BE INACCURATE, INCOMPLETE, DELAYED, OR CHANGE WITHOUT NOTICE, AND ARE NOT A PROMISE, GUARANTEE, OR PREDICTION OF FUTURE RESULTS. DISPLAYED RATES ARE NOT OFFERS BY FLIP. PAST OR CURRENT PERFORMANCE DOES NOT INDICATE FUTURE PERFORMANCE. FLIP DOES NOT GUARANTEE ANY RETURN, THE PRESERVATION OF PRINCIPAL, OR THE AVAILABILITY, SOLVENCY, OR CONTINUED OPERATION OF ANY THIRD-PARTY PROTOCOL YOU INTERACT WITH THROUGH THE SERVICES.
8. User Obligations
You agree to:
- Keep signing devices and account credentials secure;
- Configure workflows and policies accurately and review them before activation;
- Review every unsigned transaction produced by the Services before signing, and review every Permission before registering it, keep its limits appropriate, and revoke it when no longer needed;
- Comply with all applicable laws and regulations in your jurisdiction, including those governing digital asset transactions, money transmission, and securities;
- Not use the Services in connection with any illegal activity, market manipulation, sanctions evasion, or fraud; and
- Promptly notify Signo of any breach of your account or connected signing surface.
9. Intellectual Property
Signo's IP. The Services, including all software, algorithms, models, and documentation, are owned by Flip AI, Inc. or its licensors. Nothing in these Terms grants you rights in Signo's IP except as expressly stated.
Your data. You own your data: your workflow configurations, uploaded documents, position data ingested from connected sources, and notes. You grant Signo a limited license to use your data to operate and improve the Services, subject to Section 10 (Privacy) and our Privacy Policy.
10. Privacy
Your use of the Services is governed by our Privacy Policy, incorporated herein by reference. By using the Services you consent to the data practices described in the Privacy Policy.
11. Suspension and Termination
Signo may suspend or terminate your access to the Services immediately, without notice, if:
- You breach these Terms or any acceptable-use policy;
- Signo reasonably suspects fraudulent activity, sanctions violations, or material misrepresentation on your account;
- Required by applicable law or a government order; or
- A renewal payment for your plan fails and the retry period described in Section 5 has passed, or you otherwise fail to pay fees when due.
You may terminate your account at any time by contacting legal@signo.fi. Termination does not entitle you to a refund of prepaid fees, including unused credits.
Sections 5 (with respect to accrued and prepaid fees and the character of credits), 6, 7, 9, 12, 13, 14, 15, and 16 survive termination.
12. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. FLIP DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLIP'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO FLIP IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE THOUSAND U.S. DOLLARS (US $1,000).
IN NO EVENT SHALL FLIP BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF DIGITAL ASSETS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
14. Indemnification
You agree to indemnify, defend, and hold harmless Flip AI, Inc. and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your breach of these Terms; (c) your violation of any law or third-party right; or (d) any transaction you sign using data produced by the Services.
15. Dispute Resolution
Release of claims. You expressly assume all risks in connection with your access to and use of the Services and release Signo from any and all liability, claims, causes of action, or damages arising from or relating to your use. If you are a California resident, you waive the benefits and protections of California Civil Code § 1542, which provides: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."
Informal resolution. Before filing any formal dispute, you agree to contact Signo at legal@signo.fi and attempt to resolve the dispute informally for 30 days.
Arbitration. If informal resolution fails, disputes shall be resolved by binding arbitration administered by JAMS under its Comprehensive Arbitration Rules and Procedures. Arbitration shall be conducted in Wilmington, Delaware. The arbitrator's decision is final and binding. Each party bears its own fees unless the arbitrator awards otherwise. Arbitration proceedings shall be confidential — neither party may disclose the existence, content, or results of any arbitration without the other's prior written consent, except as required by law or to enforce an award.
Class action waiver. YOU AND FLIP EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.
Carve-out. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction for claims involving IP rights or breach of confidentiality, without first exhausting the arbitration process.
Law enforcement cooperation. Signo reserves the right to cooperate with any law enforcement agency, court, regulator, or government investigation, and to disclose information or content as required by subpoena, court order, or other legal process, or as Signo in good faith believes is necessary to comply with legal obligations or protect users and the public.
16. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law provisions. Subject to Section 15, you consent to exclusive jurisdiction in the state and federal courts located in Delaware.
17. Modifications
Signo may modify these Terms at any time. For material changes, Signo will provide at least 30 days' notice via the email address associated with your account or via in-product notice. Your continued use of the Services after the effective date of the revised Terms constitutes acceptance. If you do not agree to the revised Terms, you must stop using the Services before the effective date.
18. General
Entire agreement. These Terms, together with the Privacy Policy and any applicable enterprise or API agreement, constitute the entire agreement between you and Signo with respect to the Services.
Severability. If any provision is found unenforceable, the remaining provisions continue in full force.
Waiver. Failure to enforce any provision is not a waiver of future enforcement.
Assignment. You may not assign these Terms without Signo's prior written consent. Signo may assign these Terms in connection with a merger, acquisition, or sale of assets.
Notices. Legal notices to Signo: legal@signo.fi. Notices to you: the email address on your account, or in-product notice if no email is on file.
